Welcome to Circles. These Terms of Service ("Terms") govern your access to and use of the Circles mobile application, website, and related services (collectively, the "Service") operated by Circles Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Circles. By using the Service, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you confirm that you have parental or guardian consent to use the Service.
To access most features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Circles is a group loyalty and rewards application that provides group messaging, shared calendars, itineraries, to-do lists, stories, and other social coordination tools. Through the Circles rewards engine, groups ("Circles") may earn and unlock exclusive offers, deals, and experiences based on their shared interests and engagement levels.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

You retain ownership of the content you create, upload, or share through the Service ("User Content"). By posting User Content, you grant Circles Inc. a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely as necessary to operate, improve, and promote the Service.
You are solely responsible for your User Content. You represent that you have all necessary rights to post it and that it does not violate any law or infringe any third-party rights.
We may remove or disable access to User Content that we believe violates these Terms, without prior notice.
Circles' rewards are provided on an "as available" basis. Rewards, offers, and their availability may vary based on location, group activity, partner availability, and other factors. We do not guarantee the availability, value, or continuity of any specific reward or offer. Rewards have no cash value and are non-transferable unless otherwise stated. We reserve the right to modify, suspend, or terminate the rewards program at any time.
Offers provided through Circles are sourced from third-party business partners. Circles Inc. is not responsible for the quality, accuracy, or fulfillment of partner offers. Any transactions with partners are between you and the partner, subject to their own terms and conditions.
The Service, including its design, features, logos, branding, software, and all related content (excluding User Content), is the property of Circles Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.
The Service may integrate with or link to third-party websites, applications, or services. We do not control and are not responsible for these third-party services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal data. By using the Service, you agree to the practices described in our Privacy Policy.
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Circles Inc. and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Circles Inc. (if any) in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.
You agree to indemnify, defend, and hold harmless Circles Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your infringement of any third-party rights.
You may delete your account at any time through the app settings. We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Ontario, Canada, and you consent to the jurisdiction of such courts.
We may update these Terms from time to time. We will notify users of material changes through the app or via email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.
